General Terms and Conditions (GTC)

This is a courtesy translation. Only the German version is legally binding: AGB

ej.AI.minds by Esther Jaggy Aebi

§ 1 Scope and provider

1.1 These General Terms and Conditions apply to all contracts that you conclude with ej.AI.minds via the platform alfima.io and via the associated sales and booking pages.

1.1a They apply to the entire range of offerings of ej.AI.minds on this platform, including offerings that appear under a name of their own, such as WAItblick, WAItblick flow or WAItblick Impulse. These are offerings of ej.AI.minds and not independent providers. In all cases, the contracting party is ej.AI.minds by Esther Jaggy Aebi.

1.1b For offerings that we operate outside this platform (currently ej.AI.crew at ejaicrew.com), the separate terms and conditions published there apply.

1.2 The provider and your contracting party is:

ej.AI.minds by Esther Jaggy Aebi
Lindenweg 6, 8916 Jonen, Switzerland
E-mail: esther@ejaiminds.com
Telephone: +41 (0)79 915 59 63
UID: CHE-321.870.830 (not subject to VAT, see § 4.2)

1.3 The platform alfima.io is exclusively a technical service provider for provision, payment processing and delivery. It does not become a contracting party. You direct all claims arising from the contract to ej.AI.minds.

1.4 These GTC apply in the version published at the time the contract is concluded. Deviating terms on your part do not become part of the contract unless we expressly agree to them in writing.

1.5 A consumer is any person who concludes the contract for purposes that can predominantly be attributed neither to their commercial nor to their self-employed professional activity. A business customer (entrepreneur) is any person who acts in the exercise of a commercial or self-employed professional activity.

§ 2 Overview of our offerings

Depending on the offering, the rules of the respective section also apply:

Free contentFreebies, workbooks, newsletter, blog§ 9
Personal servicesDiscovery calls, AI consulting, audits, workshops, 1:1 support§ 10

The specific service, its scope and its duration are set out in the respective offering description. This description forms part of the contract.

§ 3 Conclusion of the contract

3.1 The presentation of our offerings does not constitute a legally binding offer, but an invitation to you to submit one.

3.2 By submitting the order via the payment button, you submit a binding offer to conclude a contract. Before submitting, you can review and correct your entries.

3.3 The contract is concluded as soon as we confirm the order to you by e-mail or activate access to the service, whichever occurs first.

3.4 We send you the text of the contract, including these GTC, with the confirmation e-mail. It is stored by us but is not separately accessible to you. We recommend that you keep the confirmation e-mail.

3.5 The language of the contract is German.

§ 4 Prices, taxes and payment

4.1 The price shown at the time of the order applies.

4.2 Switzerland and countries outside the EU: Pursuant to Art. 10 para. 2 let. a of the Swiss Federal Act on Value Added Tax (MWSTG), we are exempt from VAT liability and therefore do not show any Swiss VAT. The price stated is the final price.

4.4 Businesses domiciled in the EU: If you provide a valid VAT identification number, you will receive a net invoice under the reverse-charge procedure; the tax liability passes to you. The VAT ID number must be provided when ordering and will be verified by us. Without a valid VAT ID number, we treat the order for tax purposes as a consumer order. Subsequent correction of invoices already issued is excluded.

4.5 The payment methods displayed at checkout are available, in particular credit card, PayPal and SEPA direct debit. Processing is carried out via our payment service providers; their terms and conditions apply in addition.

4.6 The amount is due without deduction upon conclusion of the contract, unless otherwise agreed.

4.7 If you are in default of payment, we may, after an unsuccessful reminder with a reasonable deadline, block access to paid content until payment has been received. Your obligation to pay remains unaffected. Statutory default interest remains reserved.

4.8 You may only set off claims that are undisputed or have been established by a final and binding decision.

§ 5 Payment in instalments

5.1 Offer. For products that we expressly offer with payment in instalments, you can choose between a one-off payment and payment in instalments. The number, amount and due dates of the instalments as well as the total amount are stated in the respective offering and in the order confirmation.

5.2 No surcharge. Payment in instalments is free of interest and fees. The total amount corresponds to the price for a one-off payment.

5.3 Binding nature. The total amount remains owed, irrespective of whether and to what extent you use the content. Payment in instalments is a payment facility, not a shortening of the contract.

5.4 Distinction from a subscription. Payment in instalments is not a subscription. It ends automatically with the last instalment and is not renewed. There is no right of termination as with ongoing memberships.

5.5 Means of payment. You keep the stored means of payment valid throughout the entire term and update it yourself in good time upon expiry or change.

5.6 Default. If an instalment remains unpaid, we send a reminder with a reasonable deadline. If two consecutive instalments remain unpaid, we may block access and declare the entire outstanding balance immediately due. We will invoice you for return debit or chargeback fees actually incurred, in the amount proven.

5.7 Early payment. You may pay the entire outstanding balance early at any time, without additional costs.

5.8 Access. You receive access as soon as the first instalment has been received (§ 6.1). If, in doing so, you agreed to the early commencement and thereby waived your right of withdrawal (§ 12.2), the remaining instalments remain owed even if you no longer use the content later.

§ 6 Provision and access

6.1 After full payment (in the case of payment in instalments, after receipt of the first instalment), you receive your access data by e-mail or the content is activated in your account.

6.2 Access is personal. Passing on the access data to third parties is not permitted. We offer separate licences for teams and companies.

6.3 The duration of access is set out in the offering description. If no duration is stated, it is 12 months from activation.

6.4 We may further develop and update content and replace individual components, provided that the agreed purpose and the overall value of the offering are maintained. With AI topics in particular, ongoing updating is part of the service.

6.5 Extensions beyond the agreed duration are possible against payment, insofar as we offer them.

§ 7 Online courses, programmes and members' area

7.1 For self-study courses, we provide you with the content for independent study. Personal support is only owed if it is expressly mentioned in the offering description.

7.2 For guided programmes, the number, duration and frequency of the live sessions are set out in the offering description. If you do not attend a session, there is no entitlement to a make-up session or refund, provided that we make a recording or an equivalent substitute available.

7.3 For memberships with recurring payment, the term stated in the offering description applies. Unless otherwise stated, the membership may be terminated at the end of the respective billing period. Termination is possible in text form, for example by e-mail. The right to extraordinary termination for good cause remains in place for both parties.

7.4 We announce price changes for ongoing memberships at least 30 days before they take effect. You may then terminate the contract extraordinarily until they take effect.

§ 8 Digital downloads

8.1 For downloads, you receive the files for retrieval after receipt of payment.

8.2 You receive a simple, non-transferable right of use for your own use (in the case of a commercial purchase, for use within your own company). For details, see § 13.

8.3 Unless otherwise stated, the files are available for retrieval for at least 12 months. We recommend that you save them locally.

§ 9 Free content, freebies and newsletter

9.1 We provide free content (freebies, workbooks, webinars, blog articles) to you free of charge. There is no entitlement to permanent availability. We may change or discontinue it at any time.

9.2 To obtain a freebie, we release the content to you in return for your e-mail address. Before you submit, we inform you if this is at the same time linked to subscribing to our newsletter.

9.3 Newsletter subscription takes place using the double opt-in procedure: you receive a confirmation e-mail and are only subscribed after clicking the confirmation link.

9.4 You can unsubscribe from the newsletter at any time and free of charge, via the unsubscribe link in every e-mail or informally at esther@ejaiminds.com. After unsubscribing, you will not receive any further promotional e-mails.

9.5 For free content, our liability is limited to intent and gross negligence, insofar as permitted by law.

9.6 Because free content does not constitute a contract for consideration, there is no right of withdrawal for it.

§ 10 Personal services: consulting, audits, workshops

10.1 You book appointments via our booking system or by arrangement. The contract is concluded with our confirmation of the appointment.

10.2 We owe diligent performance of the service in accordance with professional standards, not a specific result. A specific economic success, a specific time saving or a specific result is neither owed nor warranted.

10.3 You cooperate to the best of your ability: you provide the information and access required for the service in good time. Delays resulting from this are not attributable to us.

10.4 Cancellation and rescheduling by you (for paid appointments):

Time of cancellationConsequence
more than 48 hours in advancefree of charge, alternative appointment
48 to 24 hours in advance50 % of the fee
less than 24 hours in advance or no-show100 % of the fee

10.5 You may cancel free initial consultations and discovery calls at any time without consequences. We ask you to send a short message so that the slot can be allocated to someone else.

10.6 For multi-day or multi-part formats, deviating cancellation periods apply if they are stated in the offering.

10.7 For in-person workshops at a location provided by you, you are responsible for the premises, technical equipment and catering, unless otherwise agreed. Travel and accommodation costs are charged additionally as agreed.

§ 11 Cancellation and rescheduling by ej.AI.minds

11.1 We may reschedule or cancel live sessions for good cause, for example in the event of illness, accident, failure of essential technical infrastructure or force majeure.

11.2 In this case, we will primarily offer you an alternative date or an equivalent alternative. If no agreement is reached, we will refund you the fee for the service not rendered on a pro rata basis.

11.3 Further claims (in particular for reimbursement of travel costs or loss of earnings) exist only within the scope of § 16.

11.4 For formats with a minimum number of participants, we may cancel up to 7 days before the start if the minimum number has not been reached. We refund amounts already paid in full.

§ 12 Right of withdrawal and refund

12.0 The principle in one sentence: As soon as you have activated access to a digital product or downloaded a file, a refund is excluded. How this comes about legally is set out in the following paragraphs.

12.1 Consumers are initially entitled to a right of withdrawal of 14 days. The details are set out in the withdrawal instructions displayed to you on Alfima at the time of purchase. You can also declare the withdrawal online: alfima.com/ejaiminds/withdrawal.

12.2 Expiry for digital content: For online courses, downloads and membership access, your right of withdrawal expires prematurely if

a) you expressly consent to our beginning the provision before the end of the withdrawal period, b) you confirm that you thereby lose your right of withdrawal, and c) we have sent you this confirmation together with the contract confirmation.

We obtain this consent in the ordering process by means of a separate checkbox. Without it, your right of withdrawal remains in place.

12.3 For services (consulting, coaching, workshops), the right of withdrawal expires when we have fully performed the service and you have previously expressly consented to our beginning before the end of the withdrawal period and have confirmed your knowledge of the expiry. If we begin earlier at your request and you withdraw afterwards, you owe compensation for the value of the part performed up to that point.

12.4 We grant this right of withdrawal to all consumers, irrespective of their country of residence, including in Switzerland, where it is not required by law. This means the same rule applies to everyone and no distinction by country of origin is needed at checkout.

12.5 There is no right of withdrawal for purchases made as a business customer.

§ 13 Rights of use and copyright

13.1 All content (course materials, videos, texts, templates, workbooks, prompts, tools, graphics) is protected by copyright and remains our property or that of our licensors.

13.2 You receive a simple, non-transferable right of use, limited in time to the duration of access, for your own purposes (in the case of a commercial purchase, for use within your own company).

13.3 Expressly not permitted is:

content

13.4 Results that you develop with our templates, prompts and AI tools (your own texts, images, concepts, automations) belong to you. You may use them privately and commercially, insofar as this is not precluded by the terms of use of the respective underlying AI model. We claim no rights to them.

13.4a We do not use your inputs and uploaded content to train AI models.

13.5 Contributions that you post in community areas remain yours. You grant us the simple right to display them within the scope of the respective offering.

13.6 In the event of material or repeated violations of this section, we may block access after a prior warning. Claims for damages and injunctive relief remain reserved.

§ 14 Your obligations and conduct in the community

14.1 You keep your access data safe and do not pass it on. If you suspect misuse, you inform us without delay.

14.2 Respectful interaction is required in community areas, forums and live calls. Unlawful, insulting, discriminatory or promotional content and the solicitation of other participants are not permitted.

14.3 You are responsible for your own contributions. We may remove unlawful content and block access in the event of serious or repeated violations.

14.4 You treat confidentially what other participants disclose about themselves in closed formats.

§ 15 Technical requirements and availability

15.1 To use the services, you need an internet-enabled device, an up-to-date browser, a stable internet connection and a functioning e-mail address. For live sessions, you additionally need a camera and microphone. You are responsible for these requirements.

15.2 Using individual content may require your own access to third-party services, for example to an AI tool. You bear the costs for this yourself, unless otherwise agreed. We have no influence on the availability, range of functions and pricing of these services.

15.3 We strive to ensure the most continuous availability of the platform possible, but do not owe uninterrupted accessibility. Maintenance windows, disruptions at the platform operator and force majeure may lead to temporary restrictions. In the event of longer outages, your duration of access is extended accordingly.

15.4 We are not liable for technical problems within your area of responsibility.

§ 16 Warranty and liability

16.1 The statutory warranty rights apply.

16.2 We are liable without limitation in the event of intent and gross negligence, in the event of injury to life, body or health, and in all cases of mandatory statutory liability.

16.3 In the event of a slightly negligent breach of a material contractual obligation (that is, an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on which you may rely), our liability is limited in amount to the foreseeable damage typical for the contract.

16.4 Otherwise, liability is excluded, in particular for indirect damage, consequential damage, loss of profit and loss of data. For loss of data, we are liable only up to the effort that would have been incurred had you backed up your data properly and regularly.

16.5 The limitations also apply in favour of our employees, lecturers and vicarious agents.

§ 17 Notes on AI content and on the nature of the service

17.1 Our content conveys knowledge and methods for the use of AI tools. No specific result is owed: neither revenue, nor a specific time saving, nor a specific outcome. What you achieve depends to a large extent on your own implementation.

17.2 AI systems can produce incorrect, incomplete or fabricated results. Always check results yourself before using them for business purposes. We are not liable for damage arising from AI outputs adopted without verification.

17.3 We do not owe legal, tax, financial or medical advice. Content touching on such topics is general information and does not replace advice from a licensed professional.

17.4 The range of functions, prices and availability of third-party tools may change at any time. We update our content to a reasonable extent, but do not owe day-to-day adaptation to every change.

17.5 You are yourself responsible for complying with the legal requirements applicable to you when using AI tools, in particular data protection, copyright and professional obligations. Do not enter personal or confidential data of third parties into AI tools without having verified that this is permissible.

§ 18 Data protection

How we process your data is set out in our privacy policy. It is available on the platform at any time and does not form part of these GTC.

§ 18a If you entrust us with data of your own customers

This section applies across all offerings: in consulting, in audits and in workshops.

18a.1 Your content remains yours. We acquire no rights to it, process it only insofar as this is necessary for the agreed service, and do not use it to train AI models.

18a.2 If the data that you hand over to us or store in our systems contains personal data of third parties (for example of your customers, employees or suppliers), then you are the controller for it. We process it exclusively on your behalf and in accordance with your instructions.

18a.3 For these cases, we conclude a data processing agreement (DPA) with you. It is made available to you before processing begins and governs the purpose, duration, technical and organisational measures, the use of further processors, and deletion and return.

18a.4 You warrant that you are entitled to pass on this data and that you have informed the data subjects, insofar as required.

18a.5 We recommend that you do not enter any particularly sensitive personal data (health data, data on religious or political beliefs, data from criminal proceedings) into our systems as long as there is no separate agreement for this.

§ 19 Amendments to the GTC

19.1 We may amend these GTC for ongoing continuing obligations if this is necessary to adapt to changes in the legal situation, case law or technical circumstances and does not unreasonably disadvantage you.

19.2 We announce amendments to you in text form at least six weeks in advance. If you do not object within six weeks of receipt, they are deemed accepted. We draw your attention to this effect separately in the announcement. If you object, both parties may terminate as of the date on which the amendments take effect.

19.3 For one-off purchases already concluded, the version that applied at the time the contract was concluded always applies.

§ 20 Special provisions for consumers resident in the EU

20.1 If you have your habitual residence in a member state of the European Union, the mandatory consumer protection provisions of your country of residence remain unaffected. The choice of law in § 21 does not change this.

20.2 If a provision of these GTC conflicts with a mandatory provision of your country of residence, the provision more favourable to you applies to that extent. The remaining provisions remain unaffected.

20.4 As a consumer, you may bring proceedings against us either at our registered office in Jonen or at your place of residence. We may only sue you at your place of residence.

§ 21 Applicable law, place of jurisdiction, dispute resolution

21.1 Swiss law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Vis-à-vis consumers, this applies only insofar as it does not deprive them of the protection of mandatory provisions of their country of residence (see § 20).

21.2 The place of jurisdiction for disputes with businesses is Jonen, Switzerland. For consumers, the statutory places of jurisdiction apply.

21.3 We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.

§ 22 Final provisions

22.1 Should any provision of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.

22.2 Amendments and additions to the contract require text form. This also applies to the waiver of this form requirement.

22.3 We may engage third parties to perform the contract.
